These Terms & Conditions govern the relationship between SuperDesk and our clients. Please read them carefully before engaging our services — they are designed to be fair, transparent, and protective of both parties.

1. Definitions & Parties

In these Terms & Conditions, the following definitions apply:

  • SuperDesk / We / Us / Our: refers to SuperDesk E-thrust Services Pvt. Ltd., a company registered in India, providing Amazon marketplace management services.
  • Client / You / Your: refers to any individual, sole trader, partnership, limited company, or other legal entity that engages SuperDesk's services or accesses the SuperDesk website.
  • Services: refers to all Amazon marketplace management services provided by SuperDesk, including but not limited to seller account setup, product listing optimization, A+ Content, Brand Store creation, Sponsored Ads management, FBA compliance, global expansion support, and product advisory.
  • Agreement: refers to the combination of these Terms & Conditions, any signed Service Agreement or Statement of Work, and any written correspondence confirming the scope of services.
  • Amazon: refers to Amazon.com, Inc. and its subsidiaries and marketplace platforms worldwide (amazon.in, amazon.com, amazon.co.uk, etc.).
  • Deliverables: refers to any output produced by SuperDesk for the Client, including listings, A+ Content, Brand Store designs, infographics, reports, and campaign setups.

2. Acceptance of Terms

By engaging SuperDesk's services — whether through signing a Service Agreement, making a payment, submitting a contact form, or verbally confirming engagement — the Client agrees to be bound by these Terms & Conditions in their entirety.

If you do not agree to these Terms, you must not engage our services or use our website.

These Terms form the legal basis of all engagements. In the event of any conflict between these Terms and any other document (except a signed Service Agreement), these Terms shall prevail unless expressly stated otherwise in writing.


3. Service Usage Terms

The following terms apply to the Client's use of SuperDesk's services:

  • Scope of Services:
    • Services are provided as described in the specific Service Agreement or Statement of Work agreed upon between SuperDesk and the Client. Services are limited to what is explicitly documented in that agreement.
    • Any additional services requested beyond the agreed scope will be subject to a separate written agreement and additional fees.
  • Permitted Use:
    • Services are provided solely for the Client's own Amazon selling business. Clients may not resell, sublicense, or transfer SuperDesk's services or deliverables to any third party without prior written consent.
    • Clients must not use SuperDesk's services for fraudulent, deceptive, or illegal activities on Amazon or any other platform.
    • Clients must not use SuperDesk to create listings, reviews, or account activity that violates Amazon Seller Policies, Community Standards, or applicable laws.
  • Amazon Policy Compliance:
    • SuperDesk delivers services in a manner intended to comply with Amazon's current policies and guidelines. However, Amazon policies may change frequently, and SuperDesk does not guarantee continued compliance of deliverables following any future policy updates.
    • The Client acknowledges that their Amazon account and all related actions are subject to Amazon's Terms of Service, policies, and enforcement decisions, which are outside of SuperDesk's control.
  • Turnaround Times:
    • Estimated turnaround times communicated by SuperDesk are indicative only and not guaranteed. Timelines depend on the timely provision of all required information, approvals, and materials by the Client.
    • SuperDesk will make reasonable efforts to inform the Client in advance of any anticipated delays that may affect delivery timelines.

4. Client Account Responsibilities

The following responsibilities rest exclusively with the Client in relation to their Amazon seller account and business:

  • Account Ownership: The Client is the sole account holder and owner of their Amazon Seller Central account. SuperDesk operates within the account as an authorised service provider, not as an owner or co-owner.
  • Accurate Information: The Client is responsible for providing accurate, complete, and up-to-date information necessary for SuperDesk to perform the services, including correct product details, pricing, legal documentation, and business information.
  • Credential Management: The Client is responsible for maintaining the security of their Amazon account credentials. SuperDesk strongly recommends using dedicated user permissions or sub-accounts rather than sharing primary login credentials.
  • Account Health: The Client is ultimately responsible for maintaining the health and compliance of their Amazon seller account. SuperDesk provides support and monitoring, but the Client remains responsible for all account decisions and outcomes.
  • Legal & Tax Compliance: The Client is solely responsible for ensuring compliance with applicable Indian laws, GST obligations, import/export regulations, and Amazon Seller Policies. SuperDesk provides operational support and is not a legal or tax advisor.
  • Product Legality: The Client warrants that all products listed and sold through their Amazon account are legal, accurately described, compliant with applicable product standards, and free from intellectual property infringements. SuperDesk is not liable for legal issues arising from the Client's products.
  • Access Permissions: The Client is responsible for managing access permissions within their Amazon account. SuperDesk recommends regularly reviewing and revoking third-party access as a security best practice.

5. User Obligations

In engaging SuperDesk's services, the Client agrees to the following obligations:

  • Timely Cooperation: The Client agrees to respond to requests for information, approvals, and feedback within reasonable timeframes. Delays in providing required information may result in corresponding delays in service delivery, for which SuperDesk shall not be liable.
  • Authorised Representative: The individual engaging SuperDesk on behalf of a company warrants that they have the authority to enter into a binding agreement on that company's behalf.
  • No Interference: The Client must not interfere with, reverse-engineer, or attempt to replicate SuperDesk's proprietary processes, templates, tools, or methodologies.
  • Truthful Communication: The Client must not provide false, misleading, or fraudulent information to SuperDesk in connection with their services or account.
  • Respectful Engagement: The Client agrees to communicate with SuperDesk's team in a professional and respectful manner. SuperDesk reserves the right to terminate any engagement involving abusive, threatening, or harassing communication.
  • Content Compliance: Where the Client provides product content, images, or instructions, the Client warrants that such content does not infringe any third-party copyright, trademark, or intellectual property rights.
  • Review & Approval: The Client is responsible for reviewing and approving all deliverables (including listings, A+ Content, and advertising campaigns) before they go live. SuperDesk is not liable for errors or compliance issues in deliverables that have been approved by the Client.

6. Fees, Payment & Billing

Service fees, payment terms, and billing conditions are outlined as follows:

  • Service Fees: All fees are as agreed in the written Service Agreement or confirmed in writing prior to commencement of work. SuperDesk reserves the right to revise its fee structure with 30 days' written notice for ongoing engagements.
  • Payment Terms: Unless otherwise agreed in writing, invoices are due within 7 business days of issuance. Project-based work may require a deposit (typically 50%) before work commences.
  • Late Payment: SuperDesk reserves the right to pause or suspend services where payment is overdue by more than 14 days. Repeated late payments may result in termination of the agreement.
  • Non-Refundable Work: Fees for work already completed and delivered are non-refundable, including where the Client chooses not to publish or use a deliverable. Retainer fees are non-refundable once the billing period has commenced.
  • Taxes: All fees are exclusive of applicable taxes (including GST) unless expressly stated otherwise. Applicable taxes will be added to invoices in accordance with Indian law.
  • Ad Spend: Where SuperDesk manages Amazon Sponsored Ads on behalf of a Client, the Client is responsible for funding their own Amazon advertising account. SuperDesk service fees cover management services only and do not include ad spend.

7. Intellectual Property

Intellectual property rights relating to Client content and SuperDesk deliverables are defined as follows:

  • Client-Owned Content: All product images, brand assets, and business information provided by the Client remain the intellectual property of the Client.
  • Deliverables: Upon full payment of all applicable fees, SuperDesk assigns to the Client all intellectual property rights in deliverables created specifically for the Client, including listing copy, A+ Content, and Brand Store designs.
  • SuperDesk Proprietary Tools: All proprietary processes, templates, workflows, tools, and methodologies used by SuperDesk remain the exclusive intellectual property of SuperDesk and are not transferred to the Client.
  • Portfolio Rights: SuperDesk reserves the right to showcase deliverables in its portfolio, website, or marketing materials, subject to prior Client approval. Clients may request in writing that their work not be featured.
  • Third-Party IP: The Client warrants that any content provided to SuperDesk does not infringe third-party intellectual property rights. Any liability arising from infringement claims related to Client-provided content rests solely with the Client.

8. Confidentiality

Both parties acknowledge that in the course of the engagement, each may have access to confidential information of the other, including but not limited to business strategies, financial data, Amazon account performance, pricing, and client or customer data.

  • SuperDesk's Obligation: SuperDesk will maintain all Client confidential information in strict confidence and will not disclose it to any third party except as required by law or with prior written consent. All team members are bound by confidentiality agreements as a condition of employment.
  • Client's Obligation: The Client agrees to keep SuperDesk's confidential information, including pricing, processes, and proprietary methodologies, strictly confidential and not disclose it to third parties or use it for competitive purposes.
  • Duration: Confidentiality obligations survive the termination of the engagement for a period of 3 years.

9. Limitations of Service

The Client acknowledges and accepts the following limitations applicable to SuperDesk's services:

  • Amazon Results: SuperDesk does not guarantee specific sales figures, ranking positions, advertising returns, or revenue outcomes. Marketplace performance depends on factors beyond SuperDesk's control, including Amazon algorithm changes, competitor activity, pricing, product quality, and consumer demand.
  • Amazon Policy Changes: SuperDesk is not liable for deliverables that become non-compliant due to changes in Amazon's policies, guidelines, or technical requirements after delivery.
  • Account Suspension or Action: SuperDesk is not liable for Amazon account suspensions, listing removals, or enforcement actions taken by Amazon against the Client's account. Reasonable assistance may be provided for appeals where possible.
  • Third-Party Platforms: SuperDesk's services are intended for the Amazon marketplace. Any use of deliverables on third-party platforms is at the Client's own risk.
  • Force Majeure: SuperDesk is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, platform outages, internet failures, or pandemics.
  • Client Delay: Timelines are dependent on the Client's timely provision of required information, approvals, and materials. Delays caused by the Client do not entitle them to compensation or refunds.

10. Disclaimer of Warranties & Liabilities

This section limits SuperDesk's legal liability. Please read it carefully.

  • Disclaimer of Warranties
  • SuperDesk's services are provided on an "as-is" and "as-available" basis. While we make every reasonable effort to deliver high-quality, effective services, we do not make any warranties — express or implied — that the services will produce any specific commercial outcome, increase sales, improve rankings, or meet any particular performance benchmark.

  • Limitation of Liability
    • SuperDesk's total liability to the Client in connection with any claim arising from the services shall not exceed the total fees paid by the Client to SuperDesk in the 3 months immediately preceding the event giving rise to the claim.
    • SuperDesk is not liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits, loss of sales, loss of data, loss of business opportunity, or loss of goodwill, even if advised of the possibility of such damages.
    • SuperDesk is not liable for any losses arising from the Client's reliance on deliverables without conducting their own review and approval prior to publishing.
    • SuperDesk is not liable for actions taken by Amazon, including but not limited to listing suppression, account suspension, policy violations, buy box loss, or changes to Amazon's fee structure.

11. Indemnification

The Client agrees to indemnify, defend, and hold harmless SuperDesk, its directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • The Client's breach of these Terms & Conditions.
  • The Client's violation of any Amazon policy, applicable law, or third-party rights.
  • Any inaccurate, misleading, or legally non-compliant product information, images, or claims provided by the Client to SuperDesk for use in listings or content.
  • Intellectual property infringement claims arising from Client-provided content.
  • Any actions taken by Amazon against the Client's account resulting from the Client's own conduct or decisions.

12. Term, Termination & Suspension

  • Commencement: The engagement begins on the date the Client signs a Service Agreement or makes an initial payment, whichever occurs first.
  • Notice Period: Either party may terminate an ongoing retainer or management engagement by providing 30 days' written notice. Project-based engagements end upon delivery and acceptance of the final deliverable.
  • Immediate Termination by SuperDesk: SuperDesk may immediately terminate an engagement without notice if: (a) the Client breaches these Terms and fails to remedy within 7 days of notice; (b) engages in fraudulent or illegal activity; (c) becomes insolvent; or (d) continued service would require violation of Amazon policies or applicable law.
  • Immediate Termination by Client: The Client may terminate immediately in case of a material, unresolved breach by SuperDesk, with written notice specifying the breach.
  • Effect of Termination: Upon termination, SuperDesk will cease all work on the Client's Amazon account and return or securely delete client data in accordance with the Privacy Policy. Outstanding fees for work completed remain payable.
  • Suspension: SuperDesk may suspend services without termination where payment is overdue by 14+ days or where client instructions would require violation of any policy or law.

13. Dispute Resolution Policy

SuperDesk is committed to resolving disputes promptly, fairly, and amicably. The following process applies to any dispute arising between SuperDesk and the Client:

  • Step 1 — Direct Resolution: Either party may raise a dispute by sending written notice describing the issue and desired resolution. Both parties agree to engage in good-faith discussions to resolve the dispute within 14 business days.
  • Step 2 — Escalation: If unresolved within 14 business days, the matter may be escalated to senior management, with a written response provided within 7 additional business days.
  • Step 3 — Mediation: If escalation fails, both parties agree to attempt resolution through a mutually agreed independent mediator before initiating legal proceedings. Costs are shared equally unless otherwise agreed.
  • Step 4 — Legal Proceedings: If mediation fails or is refused, either party may pursue legal remedies as outlined in Section 14 (Governing Law & Jurisdiction).

Important: The Client agrees not to publicly disparage, defame, or post negative content about SuperDesk in connection with an unresolved dispute during the dispute resolution process. SuperDesk commits to the same obligation toward the Client.

All disputes must be raised in writing within 6 months of the event giving rise to the dispute. Claims raised after this period will not be considered.


14. Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of India. Any legal disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, India.

For international Clients, where applicable consumer protection laws in the Client's own jurisdiction provide mandatory rights that cannot be excluded by contract, those rights are not affected by these Terms.


15. Amendments

SuperDesk reserves the right to update or amend these Terms & Conditions at any time. Updated Terms will be posted on our website with a revised effective date. Where changes are material, we will notify active Clients by email at least 14 days before the changes take effect.

Continued engagement with SuperDesk's services after the effective date of updated Terms constitutes the Client's acceptance of the revised Terms. Where a Client does not accept material changes, they may terminate their engagement by providing written notice within the 14-day notification period.
